The Revised Manual on Corporate Governance establishes the Company’s corporate governance framework in alignment with regulatory frameworks and recognized standards including the Revised Corporation Code, Securities and Regulation Code, Code of Corporate Governance for Publicly Listed Companies, and the ASEAN Corporate Governance Scorecard. The Manual sets out the corporate governance standards and best practices that shape how SM Prime, led by its Board of Directors, conducts its business that is accountable, ethical, and sustainable to foster long-term success.

All directors, officers and employees are expected to comply with the Manual. The Company’s Compliance Officer oversees its implementation and applies the appropriate measures in cases of non-compliance.

The Manual is reviewed regularly to keep it aligned with evolving regulations and leading corporate governance practices.
